Eligibility:

Arkon Mounts Affiliate Program Agreement

This Affiliate and Social Media Influencer Agreement (the "Agreement") is entered into between Arkon Resources, Inc., hereinafter referred to as "Arkon," and [Affiliate/Influencer Name], hereinafter referred to as the "Affiliate/Influencer," collectively referred to as the "Parties."

WHEREAS

Arkon is engaged in the business of selling Arkon Mounts products; and

The Affiliate/Influencer is engaged in promoting products and services through various social media platforms and channels;

NOW, THEREFORE

In consideration of the mutual covenants contained herein, the Parties agree as follows:

1. Affiliate Account Closure

a. If the coupon code provided to the Affiliate/Influencer by Arkon is not used within a period of 12 months, Arkon reserves the right to close the Affiliate/Influencer's account associated with the coupon code.

b. Upon account closure, the Affiliate/Influencer will no longer be eligible to receive any benefits, including commissions or referral rewards.

2. Right to Close Affiliate Account

a. Arkon reserves the right to close the Affiliate/Influencer's account at any time, with or without cause.

b. In the event of account closure, Arkon will pay out any remaining balance of generated funds to the Affiliate/Influencer based on their coupon code usage up until the date of account closure.

3. Repurposing of Content

a. The Affiliate/Influencer acknowledges and agrees that any content they create and distribute online, including but not limited to product reviews, images, videos, testimonials, and endorsements, which feature or promote Arkon Mounts products (the "Content"), may be repurposed by Arkon for social media marketing and advertising purposes.

b. The Affiliate/Influencer grants Arkon a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and perform the Content in any media or platform, whether now known or hereafter developed, for the purpose of marketing and advertising Arkon Mounts products.

c. The Affiliate/Influencer represents and warrants that they have the necessary rights, permissions, and consents to grant Arkon the license described in clause 3b, and that the use of the Content by Arkon will not infringe upon any third-party rights, including but not limited to copyrights, trademarks, or privacy rights.

4. Logo Usage and Manipulation

The Affiliate acknowledges and agrees not to manipulate, alter, distort, warp, stretch, or change the Arkon Mounts logo without prior written consent. Unauthorized logo manipulation can harm brand integrity, misrepresent the company, and potentially infringe on copyright or trademark laws. The affiliate shall strictly adhere to the provided logo usage guidelines to maintain the logo's integrity and consistency.

5. Communication and Coupon Code Removal

a. The Affiliate/Influencer and Arkon agree to maintain open and timely communication regarding payouts and any related matters.

b. In the event that Arkon attempts to communicate with the Affiliate/Influencer regarding payout-related issues and receives no response within 90 days, Arkon reserves the right to remove the Affiliate/Influencer's coupon code and terminate their participation in the Affiliate Program.

6. Compliance with Laws

The Affiliate/Influencer agrees to comply with all applicable laws, regulations, and guidelines, including those related to advertising, marketing, and data protection, in connection with their activities under this Agreement.

7. Termination

a. Either Party may terminate this Agreement at any time, for any reason, by providing written notice to the other Party.

b. Upon termination, all rights and obligations under this Agreement shall cease, except for those that, by their nature, should survive termination, including the rights and obligations outlined in clauses 1, 2, and 3.

8. Affiliate Promotion and Marketing Guidelines

The Affiliate understands and agrees to adhere to the provided promotion and marketing guidelines. These guidelines prohibit the distribution of harmful, hateful, or inappropriate content while promoting the company's products or services. Any violation of these guidelines may result in the termination of the affiliate agreement. Additionally, the affiliate acknowledges that promoting the company's offerings on third-party coupon websites is strictly prohibited.

If an affiliate's coupon code is found on a discount code site, such as Honey or RetailMeNot, Arkon Mounts reserves the right to deactivate the code until further notice. This policy is in place to ensure fairness among all affiliates and to prevent abuse of the discount being used without genuine promotional effort from the affiliate. The code may be reactivated at a later date or once the affiliate provides proof that the coupon has been removed from the discount site.

9. Commission Structure

Your coupon code will save 20% off all items on Arkon.com. When promoting your code, it's best to show an item, mention the model number, and indicate that the item can be purchased on Arkon.com with a 20% discount using your coupon code.

"Trailblazer" incentives apply at 100, 200, 300, 400, and 500 sales, with a corresponding cash bonus of $100, $200, $300, $400, and $500.

If your coupon code is not used within one year, it will be deactivated.

At the end of each quarter, Arkon reviews the sales generated by affiliate coupon codes. If a code has generated at least $250 in net sales ($25 in commission), the payout will be made during that quarter. If the threshold is not met, the sales total carries over into the next quarter until the threshold is reached.

International affiliates are paid via PayPal, with minimum payout thresholds that may vary by country. You may email us at any time to inquire about the status of your coupon code or commissions.

10. Payment Terms

To receive affiliate payouts, you must have an active PayPal account. If you are located within the United States, you are also required to submit a W-9 form in a timely manner. This documentation is necessary for processing payments and ensuring compliance with tax regulations.

Affiliates must also remain responsive to Arkon’s communication efforts regarding payment. If we attempt to reach you about a payout and receive no response within six (6) months, your affiliate account will be deactivated, and we will cease further outreach. In such cases, it will be your responsibility to contact Arkon with updated information to resume payment processing. Your account and discount code will remain inactive until the requested information is submitted and communication is reestablished.

11. Email Subscription Requirement

Affiliates are required to be subscribed to our email campaigns and have their email updated in the affiliate portal. This allows us to communicate special offers, updates, as well as critical communications regarding payouts. Not doing so may result in the deactivation of your account and discount code.

12. Limitation of Liability for Affiliates/Influencers

The Affiliate/Influencer acknowledges and agrees that, to the maximum extent permitted by law, Arkon shall not be held liable for any damages, losses, costs, or expenses incurred by the Affiliate/Influencer arising out of or related to their participation in the affiliate program. This limitation of liability applies to any claims, including but not limited to those arising from negligence, breach of contract, or any other legal theory. In no event shall Arkon’s total liability to the Affiliate/Influencer exceed the total amount of commissions earned by the Affiliate/Influencer in the six (6) months preceding the event giving rise to the liability. The Affiliate/Influencer assumes full responsibility for their actions and agrees to indemnify and hold Arkon harmless from any claims or liabilities arising from their promotional activities or use of Arkon’s products or services.
